This is a working draft written by the Ronda team, not by a lawyer. It must be reviewed by Armenian counsel before Ronda processes real money for anyone other than its own founder.

1. What Ronda is

Ronda provides software for scheduling and initiating card payments. Ronda is not a payment institution, an acquirer, or a money transmitter. It does not hold, receive or transmit your funds. Your acquiring bank holds the cardholder relationship, performs know-your-customer checks, authorises transactions and settles funds directly to your account.

2. What you need before using Ronda

You must have a valid Armenian legal entity or registered Individual Entrepreneur status, and an active vPOS (virtual point-of-sale) account with a bank Ronda supports. Your bank, not Ronda, decides whether you may accept cards.

3. Your responsibilities

  • Ensuring you have your customers' consent to store a card token and charge it on a schedule.
  • The accuracy of amounts, plans and billing intervals you configure.
  • Handling refunds, disputes and customer support for your own customers.
  • All taxes, including VAT, arising from your sales. Ronda does not compute or remit tax on your behalf.
  • Keeping your API keys secret and your team's access appropriate.

4. Fees

Ronda charges a platform fee on live processed volume, shown in your dashboard under Billing and in the pricing page at the time of signing up. Because your bank settles funds directly to you, Ronda bills this fee monthly to a card you save with Ronda. Your bank's acquiring fees are separate and are not collected by Ronda.

If a Ronda invoice cannot be collected after four attempts, live processing on your account may be suspended until the balance is settled. Existing subscriptions are not canceled while suspended.

5. Card data

Card numbers are entered on your bank's hosted page and are never transmitted to or stored by Ronda. Ronda stores only the bank-issued token and display metadata such as brand and last four digits.

6. Availability

Ronda is provided without an availability guarantee at this stage. Scheduled charges are retried on failure, but Ronda does not warrant that any individual charge will be attempted at an exact moment.

7. Liability

To the extent permitted by Armenian law, Ronda's aggregate liability is limited to the platform fees you paid Ronda in the three months preceding the claim. Ronda is not liable for chargebacks, fraud losses, or funds held or reversed by your bank.

8. Ending the agreement

You may stop using Ronda at any time. Your customers' card tokens belong to your bank account rather than to Ronda, so ending this agreement does not strand your subscribers. On request, Ronda will export your data in a machine-readable format and delete it.

9. Governing law

These terms are governed by the laws of the Republic of Armenia.
